Document Services Terms and Conditions

Introduction

These terms and conditions govern the document drafting, template and guidance services ordered from us, Whytecroft Ford Ltd, through our Website (https://www.whytecroftford.com) and services ordered from us other than our Website (to the extent that these terms and conditions relate to services ordered from us through the website or otherwise such terms and conditions shall be referred to as “Document Services Terms and Conditions” and these Terms and Conditions together with the Website Terms of Use shall be referred to as the “Terms and Conditions”). You should understand that by using this Website you agree to be bound by the Terms and Conditions and by ordering any of our services through the Website or otherwise you agree to be bound by the Terms and Conditions.

Please read these legally binding documents carefully. If you disagree with the Terms of Use you must not use our website and if you disagree with the Terms and Conditions you must not order services through the Website or otherwise. Please understand that if you refuse to accept these Terms of Use and Terms and Conditions, you will not be able to purchase any services from us.

These Terms and Conditions are in the English language only. You should retain a copy of these Terms and Conditions for future reference.

Whytecroft Ford is a specialised legal services provider that also sells individual legal and business documents, together with guides relating to legal documents to be used in India under Indian law. We provide legal and business document templates. It is the customer’s responsibility to ensure that the documents or document packs purchased from us meet their requirements.

The documents, document packs, forms, information, guides and/or material purchased from Whytecroft Ford do not constitute and are not intended to replace legal advice. We strongly recommend that proper legal advice be sought where the customer is unsure about the appropriateness or legal aspects of a document, form, information or material purchased from us.

Liability

Whytecroft Ford uses its best endeavours to ensure that all documents, forms, information and material on its website are correct and reflect the current law. We will try to rectify any errors within a reasonable time.

Whytecroft Ford, its directors and employees, will not be held liable for any loss or damage of any kind arising from the use or inability to use this website and the documents, forms, information and material purchased from us, or where the customer relies on the information contained within this website.

No liability shall attach to Whytecroft Ford, its directors and employees for any loss or damage of any kind suffered as a result of errors or omissions in the contents of any documents, forms, information and material contained within this website.

It is the customer’s responsibility to ensure that any document, form, information and material purchased from us is appropriate for its intended purpose. We do not warrant that the document, form, information and material purchased from us will be fit for its intended purpose.

The documents, document packs and information on this website do not constitute legal advice. We therefore strongly recommend that you seek legal advice when using our services.

Waiver

The failure by Whytecroft Ford to enforce at any time or for any period any one or more of the terms and conditions shall not be a waiver of them or the right at any time subsequently to enforce all terms and conditions.

Severance

If any provision of these terms and conditions shall be found by any court to be invalid or unenforceable, such invalidity or unenforceability shall not affect the other provisions of these terms and conditions, which shall remain in full force and effect.

If any provision of these terms and conditions is so found to be invalid or unenforceable but would be valid or enforceable if some part of the provision were deleted, the provision in question shall apply with such modification(s) as may be necessary to make it valid and enforceable.

Online Payments

Whytecroft Ford Ltd uses Stripe Payment Gateway for debit and credit card processing to ensure your payment is made safely and securely. Stripe’s Payment gateway meets the Payment Card Industry Data Security Standards (PCI-DSS) to protect cardholder information. All transactions are safely and securely SSL encrypted. You consent to your details being passed to Stripe to make a payment on our site.

Document Services

We endeavour to provide a high-quality service.

You agree to provide us with all the necessary information and documents (if applicable) to initiate the creation of your documents within ten (10) business days. In the event that you fail to provide the required information and documents within the specified timeframe, we reserve the right to extend the timeline for the completion of your documents or terminate the engagement entirely.

We offer up to three (3) revisions or amendments to your document(s) or document pack(s) within ten (10) days of the delivery date. We reserve the right to decline any further revisions beyond the stated limit.

Indian Law Document Drafting Services: Scope

The following section sets out the specific scope of our Indian law document drafting services, including our Indian Power of Attorney (POA) services and our miscellaneous document drafting service. By purchasing any of these services you confirm that you understand what is, and what is not, included in the service you have selected.

Services Offered

Deed of Revocation

We draft a deed of revocation under Indian law to revoke a Power of Attorney you have previously granted. You are required to provide us with a copy of the POA that is to be revoked so that it can be properly identified within the deed. This service is a drafting service only.

POA Draft

We draft a Power of Attorney under Indian law, tailored to the circumstances and authorities you provide to us. This service is a drafting service only. It does not include a legalisation guide or any consultation.

POA Pack Service

We draft a Power of Attorney under Indian law, tailored to your circumstances, and provide a written legalisation guide. The legalisation guide sets out the steps you are required to take in order to legalise and validate your POA for use in India. This service is limited to the drafted document and the accompanying guide.

Assisted POA Pack Service

Includes everything provided under the POA Pack Service, together with a telephone consultation. During the consultation we discuss your requirements for the POA document, talk through the authorities you wish to grant, and provide an in-depth walk-through of the legalisation process.

Miscellaneous Document Drafting

We draft other documents under Indian law, including but not limited to affidavits, declarations, consent letters, indemnity bonds, sworn statements, no-objection certificates, gift deeds, and similar instruments. Each document is drafted in accordance with the circumstances and instructions you provide to us. This service is a drafting service only and does not include a legalisation guide, consultation, or any assistance with notarisation, attestation, apostille, or registration unless expressly purchased as a separate service. The scope of each miscellaneous drafting instruction is confirmed with you in writing before work commences. We reserve the right to decline instructions that fall outside our competence or that relate to matters we do not advise on.

What Is Not Included in Any Document Drafting Service

Whytecroft Ford is not a notary public and does not provide notarial services. In relation to every drafting service set out above, the following steps fall outside the scope of our engagement and must be undertaken by you directly, in accordance with the written guidance we provide where applicable:

  • Notarisation of the document before a notary public
  • Apostille by the Foreign, Commonwealth and Development Office (FCDO)
  • Attestation by the High Commission of India (HCI)
  • Registration of the document with the relevant Sub-Registrar or authority in India
  • Physical submission, collection, or courier of the document to or from any third party

Our fees cover only the service you have selected, being drafting and, where applicable, the legalisation guide and consultation. Our fees do not include any third-party costs. Third-party costs may include, without limitation, notary fees, FCDO apostille fees, HCI attestation fees, courier and postage charges, translation fees, and any stamp duty or registration fees payable in India. All such costs are payable by you directly to the relevant third party.

Nothing in this section constitutes legal advice. A Power of Attorney, affidavit, or similar instrument is a significant legal document and we strongly recommend that you seek independent legal advice where you are unsure about the appropriateness of the document for your intended purpose.

Cancellation, Complaints and Refunds

Your right to cancel

Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, where you purchase our services as a consumer at a distance, you have a statutory right to cancel the contract within fourteen (14) days of the day on which the contract was entered into, without giving any reason.

Loss of the right to cancel

Our document drafting services are supplied digitally and are typically performed within the fourteen (14) day cancellation period. By placing an order you expressly request that we begin performance of the service during the cancellation period and you acknowledge that:

  • where the service has been fully performed before the end of the fourteen (14) day period, you lose your right to cancel in accordance with Regulation 36 of the 2013 Regulations;
  • where we have begun but not completed performance at the point you cancel, you must pay a reasonable amount in proportion to the work carried out up to the point of cancellation;
  • where the supply consists of digital content not supplied on a tangible medium (such as a drafted document, deed, or guide delivered electronically), you give your express consent to the supply beginning before the end of the cancellation period, and acknowledge that you thereby lose your right to cancel in accordance with Regulation 37 of the 2013 Regulations.

Jurisdiction and Governing Law

These terms and conditions shall be governed by and construed under English law. Any dispute, claim or matter arising out of, or relating to, these terms and conditions shall be subject to the exclusive jurisdiction of the English courts.
